These Topical Diazoxide Founding Members Program Terms (“Program Terms” or “Agreement”) govern your participation in the Anagen Topical Diazoxide Founding Members Program (the “Program”), a conditional, refundable-deposit pre-launch reservation and consumer-credit program for a forthcoming investigational topical diazoxide product: an anhydrous topical scalp preparation of diazoxide, expected to be in the range of 2-5% w/w, a potassium-channel (K-ATP) opener in the same class as minoxidil's active form, intended for the topical treatment of androgenetic alopecia (collectively, “Topical Diazoxide” or the “Product”). Specific strength, vehicle, and excipient details are subject to change based on Anagen's ongoing research and development and Founding Member feedback. The Program is operated by Anagen LLC, a Delaware limited liability company (the “Company,” “Anagen,” “we,” “us,” or “our”).
Topical Diazoxide is investigational and is not approved by the U.S. Food and Drug Administration (FDA) for hair loss. It is in the earliest stage of development, is bench-gated, has not been evaluated in any human clinical trial for androgenetic alopecia, is not yet dispensable, and is intended to be provided, if and when it clears development, only as a compounded prescription product under Section 503A of the Federal Food, Drug, and Cosmetic Act (“§503A”), pursuant to an individual prescription issued by a licensed clinician. Any use of topical diazoxide for androgenetic alopecia is off-label. Nothing in these Program Terms is a claim of efficacy or safety, and nothing here is medical advice.
These Program Terms supplement, and are incorporated by reference into, our Terms of Use and Privacy Policy. In the event of a conflict between these Program Terms and the Terms of Use, the Privacy Policy, or the Treatment Check-In Privacy Notice with respect to the Program, including with respect to Qualifying Submissions made under the Program, these Program Terms control. All capitalized terms not defined here have the meanings given to them in the Terms of Use.
This Agreement is a legal contract between you and the Company. By clicking to join the Program, paying the $249.99 Program deposit, or otherwise signing up as a Founding Member, you agree to be bound by these Program Terms. If you do not agree, do not join the Program and do not pay the deposit.
The Company may revise these Program Terms from time to time by posting an updated version on the Website and, where practical, by sending you an email notification. Material changes that affect the economic substance of your Program participation (the deposit amount, the refund mechanism, the earn-back Credits, the Founding Tier Credit, the Referral Points, or the Founding Member Benefits for already-enrolled members) will not be applied retroactively to your existing Founding Member status without your affirmative consent or your right to a full refund of your deposit. Non-material changes take effect on posting, and your continued participation in the Program after posting constitutes acceptance of those changes.
You represent and warrant that (a) you are at least eighteen (18) years of age, (b) you are a resident of the United States, (c) you have the legal right and ability to enter into this Agreement, and (d) you are not located in, under the control of, or a national or resident of any country or on any list to which the export of the Program or the Product would be prohibited by U.S. law. The Program itself is a refundable deposit and early-adopter program; it is not a medical service, does not constitute the practice of medicine, and does not establish any provider-patient relationship. Nothing in the Program or these Program Terms is medical advice. Any dispensing of the Product occurs, if at all, only at commercial launch, only pursuant to an individual §503A prescription written by a state-licensed clinician following a separate telehealth evaluation, and only to patients in the United States.
Reservation Deposit. The Founding Member deposit is $249.99 in U.S. dollars, paid one time at signup to reserve your Founding spot. The deposit is fully refundable (see the Refund Policy) and, if the Program proceeds, is applied as account credit to your order for the Product at launch. Paying the deposit does not purchase any product today and does not itself charge you for any Product. It is a refundable consumer deposit, not a fee for a right to profit and not an investment. Each customer account and email address may hold only one paid Founding Member reservation at a time. If a duplicate payment reaches Anagen despite that restriction, it will be refunded and will not receive another spot or another set of benefits.
Standard Anagen reward points. When your deposit payment clears, the purchase earns 2,499 spendable Anagen points and the same amount of lifetime rewards score under Anagen's standard rewards rules. These points are separate from the Founding Tier Credit described below. If your deposit is refunded or reversed, those points and lifetime score are reversed.
Founding Tier and Covered Supply. Your spot number sets your Founding Tier, and your Founding Tier sets the number of months of Product supply that Program credit is designed to cover (your “Covered Supply”). The first 50 spots are divided into 3 tiers, and the Covered Supply decreases with each successive tier: 12 months for spots 1-10; 6 months for spots 11-30; 4 months for spots 31-50. The largest Covered Supply is 12 months. Enrollment remains open after spot 50, but later members receive no Founding Tier, Covered Supply, Founding Tier Credit, or earn-back Credits. Once your spot number is fixed, the number of months your tier covers does not change.
Covered Supply is fixed in months, not dollars. The retail price of the Product has not been set. What these Program Terms fix for you is the number of months of Covered Supply, not a dollar amount.
Founding Pricing. “Founding Pricing” means the Founding Member price schedule that Anagen publishes for the Product at launch. Because the Product's retail price is not yet set, these Program Terms do not fix a per-month or per-cycle dollar price. Anagen will publish the Founding Member price schedule and notify enrolled Founding Members of it before any Product charge is made. Once published, the Founding price for any Covered Supply assigned to you will not be increased for you, and it will not be higher than Anagen's then-current standard list price for the same duration at launch. That comparison is to the standard list price only, and excludes temporary promotions, discounts, bundles, and limited-time offers Anagen may make available to any customer group. If you do not wish to proceed at the published price, you may decline to proceed and receive a full refund of your $249.99 deposit.
Nothing else is charged before launch. No Product charge of any kind is made before launch. If and when the Product launches and you elect to proceed under a valid prescription, you are charged the published Founding price for the Product you order, your $249.99 deposit is applied as credit against that order, and the balance of any Covered Supply assigned to you is designed to be returned as Credits through the Qualifying Submissions described below.
Program Minimum. The Program is conditional on at least fifty (50) Founding Members enrolling and paying the deposit during the Program Window (the “Program Minimum”).
Program Window. The Program Window begins on the public launch date of the Program and is expected to remain open for approximately six (6) months. Reaching the Program Minimum does not close enrollment. The Company will publish the closing date and may extend it with at least thirty (30) days' advance notice to Founding Members by email. The Company may also make the current Founding Member count and time remaining available. Whether the Program Minimum has been met is determined at the close of the Program Window, and the Program either proceeds or is cancelled and each deposit is refunded as described below, in each case before any Founding Member is charged for Product. No Founding Member is charged for Product while the Program remains capable of being cancelled for failure to meet the Program Minimum.
Program Minimum Met and Launch. If the Program Minimum is met by the end of the Program Window and the Product launches, the Program proceeds, and your $249.99 deposit is applied as credit to your order for the Product. If a licensed clinician declines to prescribe the Product to you after launch, you are not charged for any Product and you are entitled to a full refund of your deposit. Amounts you are charged for your own order, once billed, are non-refundable for change of mind (except as otherwise required by applicable law and except under the Prolonged Non-Launch Fallback below), but are instead recoverable by you as earn-back Credits, up to the value of any Covered Supply assigned to you, through the Qualifying Submissions described in the Earn-Back Credits section.
Program Minimum Not Met or No Launch. If fewer than 50 Founding Members enroll by the end of the Program Window (as it may be extended), or if the Product never launches, the Program is cancelled and each Founding Member is entitled to a full refund of the $249.99 deposit as described in the Refund Policy section below. Upon refund, your Founding Member status, unredeemed Credits, and Founding Member Benefits are rescinded automatically, and Anagen has no further obligation to you under the Program.
This section applies only to Founding Members in spots 1 through 50, because later members have no Covered Supply. For an eligible member, the $249.99 deposit is applied as credit to the order, and the balance of the price charged for Covered Supply is returned as account Credit by completing three (3) Qualifying Submissions once the Product has launched and the Founding Member is using it under a valid prescription. Credits are non-transferable and tied to your Anagen customer account.
Total earn-back available. The price actually charged to you for your Covered Supply, less the $249.99 deposit credit already applied to your order, returned as 3 equal account Credits. That amount is a ceiling. The Program does not return more than you paid, does not return credit for Product beyond your Covered Supply, and does not pay any amount in cash.
Qualifying Submission. A “Qualifying Submission” consists of standardized before/after photographs taken to Anagen's stated specifications, together with a short check-in questionnaire, received and accepted by Anagen. Each accepted Qualifying Submission returns one of the 3 equal Credits described above.
Earning schedule. The 3 Qualifying Submissions are collected at 3 checkpoints: (a) a baseline submission at or before the start of treatment; (b) an interim submission at approximately the midpoint of your Covered Supply; and (c) a final submission at approximately the end of your Covered Supply. Because Covered Supply runs from 4 months to 12 months depending on your Founding Tier, the calendar dates of the interim and final checkpoints depend on your tier and are notified to you when your order is placed. Anagen may make reasonable accommodations to the checkpoint timing where a Founding Member's prescription start date, shipment date, or clinical schedule requires it.
Use of Credits. Account Credits may be applied against future Topical Diazoxide orders, in whole or in part, until exhausted. Credits do not expire and roll forward, have no cash value, are not redeemable for cash, and are not transferable or assignable to any other person or account. Credits are not shares of Anagen revenue or profit; they are consumer credits toward the Founding Member's own future purchases, earned by the Founding Member's own submissions.
No penalty for skipping; what the limits are. There is no penalty for missing a checkpoint, but a Credit is earned only when a Qualifying Submission is actually received and accepted. A Founding Member who submits fewer than three Qualifying Submissions earns proportionally fewer Credits. Additional submissions beyond the third do not earn further Credits but may still be submitted for Anagen's research data set. Anagen reserves the right to modify the checkpoint schedule with equivalent aggregate value, with at least thirty (30) days' email notice to all active Founding Members.
Rescission. If the Program Minimum is not met or the Product never launches and you receive a refund of your deposit, all Credits are rescinded automatically. If the Program Minimum is met and the Product launches, the earn-back schedule is not separately refundable for cash and is not exchangeable for any other Anagen product, subject to any additional consumer rights that apply under applicable state law.
What it is. The Founding Tier Credit is the total account Credit the Program is designed to put toward your Covered Supply. It is made up of the $249.99 deposit credit applied to your order plus the 3 earn-back Credits described above. It is not a separate cash bonus and it is not paid in addition to those two components. Its size is set by your Founding Tier, expressed in months of supply: 12 months for spots 1-10; 6 months for spots 11-30; 4 months for spots 31-50. Members beyond spot 50 receive no Founding Tier Credit.
How your tier is set. Your spot number is assigned in the sequential order in which Anagen's system records verified, paid Stripe Checkout Sessions. Stripe does not guarantee chronological webhook delivery, so this is settlement order rather than the exact order in which customers click Pay or their banks authorize a card. The live member count and prospective spot shown on the product page are provided for convenience, refresh periodically, and remain approximate until checkout settlement. The spot number recorded by Anagen's system governs and will be confirmed to you. Refunded and reversed spots are not reassigned. If the Founding Tier actually assigned to you carries fewer months of Covered Supply than the tier displayed to you when you began checkout, you may cancel your enrollment and receive a full refund of your $249.99 deposit by emailing support@anagen.xyz within fourteen (14) days of your payment.
Nature and use. The Founding Tier Credit is account Credit toward Product only. It has no cash value, is not a refund, is not redeemable for cash, and is not transferable or assignable. It applies against the cost of your Topical Diazoxide orders, in whole or in part until exhausted, and does not expire while your account remains in good standing. The benefit is defined by the 12 months maximum Covered Supply and the other tier durations above, not by an unpublished dollar value.
Rescission. The Founding Tier Credit is contingent on the Program proceeding and on your remaining a Founding Member. It is rescinded automatically, in whole, if the Program Minimum is not met, if the Product never launches, or if you receive a refund of, or cancel, your deposit. It confers no share of revenue, profit, or equity and is a consumer promotional credit, not an investment return.
What they are. A paid Founding Member receives 2,000 spendable Anagen points (a $20 value) for each other person who uses that Founding Member's Diazoxide referral link and whose Founding deposit successfully clears. The points are earned when the referred person's payment clears, not when an invitation is sent or when checkout begins.
Nature and use. Referral points are ordinary spendable Anagen reward points and may be used wherever Anagen's standard rewards rules permit. They do not increase lifetime rewards score. They have no cash value, are not a refund, are not redeemable for cash, are not a commission or a share of Anagen revenue or profit, and are not transferable or assignable.
Limits and reversals. Self-referrals, fraudulent accounts, and referrals of a person already enrolled in this Program do not qualify. If a referred person is refunded or reverses payment, the corresponding referral points are reversed. If the referring Founding Member receives a refund or reverses their own deposit, all referral points earned through that membership are reversed. If the spendable points balance is insufficient, the account may carry a negative points balance that is offset by future points; Anagen will not invoice the member for the difference.
Rescission. Referral points are rescinded automatically if the Program Minimum is not met or the Product never launches and the related deposits are refunded.
Each Founding Member receives the following benefits, tied to the member's Anagen customer account and non-transferable. Earn-back Credits and a Founding Tier are available only for spots 1 through 50 as described above.
(a) Priority Allocation and Founding Pricing. Founding Members receive first-in-line access to Topical Diazoxide at commercial launch and lock in Founding Pricing on the terms set out above. The first 50 members also lock in their Founding Tier. No per-month or per-cycle dollar price is fixed by these Program Terms. Founding Members are notified in advance of general release and may order during the launch window before allocation opens to the broader Anagen customer base. Priority Allocation does not guarantee that the Product will launch on any particular date and does not confer an exclusive right to purchase. All dispensing remains subject to an individual §503A prescription.
(b) Formulation-Feedback Channel. Anagen will operate a written survey and an open-response inbox through which Founding Members may provide input to Anagen's R&D team on strength, vehicle, tolerability, and development direction. Founding Member input is advisory only; Anagen retains sole and final decision authority over all formulation, R&D, and product-development matters, including the right not to adopt any suggestion for any reason.
(c) Quarterly R&D Updates. Anagen will provide written quarterly updates to Founding Members covering the provisional patent filing, formulation and stability progress, delivery/PK work, §503A pharmacy-partner progress, and development direction, to the extent Anagen determines the information can be disclosed without compromising confidential business or intellectual property interests.
(d) Founding Member Status. Founding Member status is a permanent perk tied to your Anagen customer account, including priority access to future Anagen formulations. Founding Member status is non-transferable, non-assignable, and has no cash value, and does not represent equity, debt, revenue share, profit share, or any other financial interest in Anagen or any affiliated entity. Any purported transfer is void.
No Revenue Share. Founding Members do not receive, and are not entitled to, any share of Topical Diazoxide revenue, gross margin, net profit, or any other economic return from the Product or from Anagen. The Program is structured as a refundable-deposit and consumer-credit program plus early-adopter benefits, not as an investment. The $249.99 deposit reserves your spot and locks your Founding Member Benefits and, for spots 1 through 50, your Founding Tier; any amounts later charged for your own order purchase your own Product (once launched), and nothing more.
Not a Security. Anagen has structured the Program so that a Founding Member's participation does not involve an expectation of profits derived from the efforts of others within the meaning of the Howey test or analogous federal or state securities law. In particular, (i) the $249.99 deposit and any amounts charged for any Covered Supply assigned to the Founding Member are consideration for the Founding Member's own Product and the associated Program benefits (priority allocation, Founding Pricing, information rights, and the formulation-feedback channel), (ii) the earn-back Credits are earned by the Founding Member's own Qualifying Submissions and are consumer credits toward the Founding Member's own future purchases, so they are not derived from Anagen's efforts and are not a return on capital, (iii) Founding Member Benefits confer priority access and information rights, not economic return, and are non-transferable, (iv) the Referral Points are a promotional marketing incentive under Anagen's rewards program and are not a commission or a share of revenue, and (v) Founding Members receive no share of Anagen revenue or profit. This Agreement is not a securities offering document.
No Reliance on Anagen for Financial Return. By joining the Program, you acknowledge that you are not relying on Anagen or any affiliated entity or individual for any financial return on the $249.99 deposit or on any amounts you pay for your own Product, and that the sole consumer benefits you expect are your own Product, any applicable Covered Supply, earn-back Credits and Founding Tier Credit, Referral Points, and the Founding Member Benefits as described in this Agreement.
Program-Minimum-Not-Met or No-Launch Refunds. If the Program Minimum is not met by the end of the Program Window (as it may be extended), or if the Product never launches, Anagen will process a full refund of the $249.99 deposit to each Founding Member within thirty (30) days of the end of the Program Window (or of Anagen's determination not to launch). Refunds are issued to the original payment method used at checkout where practical, and by an alternative method acceptable to the Founding Member and Anagen where the original method is unavailable. On refund, the Founding Member's reward points, Credits, status, and Benefits are rescinded automatically and no other consideration is due.
Price-Decline Refunds. After Anagen publishes the Founding Member price schedule and notifies enrolled Founding Members of it, you may decline to proceed at that price and receive a full refund of your $249.99 deposit. To exercise that right, email support@anagen.xyz within thirty (30) days of the date of that notice. Anagen will process the refund within thirty (30) days of receiving your request, using the refund mechanics described above. On refund, your reward points, Credits, Founding Member status, and Founding Member Benefits are rescinded automatically and no other consideration is due.
After Launch. Once the Program Minimum is met, the Product has launched, and you have been charged for your own order (with your $249.99 deposit applied as credit), those Product charges are non-refundable for individual change of mind (except as required by applicable law and except under the Prolonged Non-Launch Fallback below). If you have Covered Supply, you recover its balance as earn-back Credits through your 3 Qualifying Submissions. Anagen will not honor refund requests based on a personal decision to discontinue interest in the Product or any similar reason. Founding Members are encouraged not to join the Program if they are not certain about their commitment.
Prolonged Non-Launch Fallback. If the Product has not commercially launched within twenty-four (24) months of the close of the Program Window, a Founding Member may request a full refund of the $249.99 deposit (and of any other amounts actually paid to Anagen under the Program).
Statutory Rights. Nothing in this section limits any non-waivable consumer refund rights that may apply to you under applicable state or federal law.
Development Stage. Topical Diazoxide is a development lead at the earliest, bench-gated stage. The lead formulation is an anhydrous topical scalp preparation of diazoxide in a cosolvent vehicle, protected against oxidation with low-peroxide excipients and antioxidants. Strength is set as a multiple of measured saturation solubility rather than as a fixed percentage, because only dissolved drug penetrates skin; the strength is therefore expected to fall in the range of 2-5% w/w but may fall outside that range, and the dosage form (solution or non-settling semisolid) is not yet determined. Both are expected to be resolved by a solubility screen; the strength and dosage form remain as described above until Anagen publishes the result. The strength, dosage form, vehicle, and excipients remain under bench evaluation and may change based on Anagen's ongoing R&D and Founding Member feedback. A provisional patent application relating to the formulation was filed on 23 July 2026.
Development Commitment. If the Program Minimum is met, Anagen commits to pursue in good faith the formulation, stability, delivery, regulatory, and supply-chain work required to make the Product commercially available under §503A. Anagen is currently targeting September 2026 for first prescriptions. That is a target, not a commitment, and Anagen does not guarantee any launch date. The formulation must first clear solubility, stability, and delivery (localization) testing and must be prescribable under §503A. Actual timing depends on development, regulatory, and supply-chain milestones and on factors outside Anagen's control, and the target may move or may not be met at all.
§503A Launch Model and Essentially-a-Copy. The Program contemplates a commercial launch under §503A (compounded drug products dispensed pursuant to individualized prescriptions issued by licensed prescribers), in the same operating model that Anagen uses for its MINX product line. Anagen's position is that a topical diazoxide scalp preparation is §503A-eligible and is not “essentially a copy” of a commercially available approved drug, because it is a different route of administration and dosage form (a topical scalp preparation) than the only FDA-approved diazoxide product, oral Proglycem (diazoxide oral suspension, NDA 017453). That position does not depend on the strength or dosage form finally selected. The Program is not conditioned on, and does not promise, FDA approval of Topical Diazoxide for any indication.
No Guarantee of Regulatory Outcome. Compounding rules, diazoxide bulk-substance availability for compounding, and state pharmacy-law requirements may change. Anagen's ability to launch Topical Diazoxide under §503A depends on these regulatory conditions remaining compatible with the product design and on Anagen's ability to secure a compliant compounding-pharmacy partner. If regulatory conditions change materially such that the Product cannot be launched in a commercially viable form, Anagen may cancel the Program and process full refunds under the Program Termination section.
Termination by Anagen. Anagen may terminate the Program at any time in its reasonable discretion, including if (a) the Program Minimum is not met, (b) regulatory or compounding-law developments make the Program impracticable, (c) Anagen determines in good faith that continuation of the Program would be inconsistent with applicable law, (d) an insolvency, force majeure, or other material adverse event affects Anagen or its supply chain, or (e) the Program cannot reasonably be completed as designed. On termination, Anagen will refund the $249.99 deposit (and any other amounts actually paid under the Program, less the value of Product already shipped to that Founding Member) to each then-current Founding Member within thirty (30) days, using the mechanics described in the Refund Policy section.
Individual Termination. Anagen may terminate an individual Founding Member's participation and rescind Founding Member status, Founding Member Benefits, and (if the Program Minimum has not yet been met or the Product has not launched) refund the deposit, if the Founding Member (a) materially breaches these Program Terms or the Terms of Use, (b) obtained Founding Member status by fraud or misrepresentation, or (c) engages in conduct that in Anagen's reasonable determination is abusive, unlawful, or materially harmful to Anagen or to other Founding Members. If Anagen terminates a Founding Member's participation for cause after the Product has launched and you have been charged for your order, those Product charges are non-refundable and unredeemed Credits are forfeited.
Chargebacks. Initiating a chargeback or payment reversal is not, by itself, grounds for termination for cause. If you initiate a chargeback or payment reversal in respect of the deposit or any Product charge and that amount is returned to you, Anagen may set the disputed amount off against your account Credit balance so that you are not credited twice for the same amount.
Modification. Anagen may modify the Program from time to time as described in the Acceptance section. Non-material modifications (for example, adjusting the cadence of updates, or clarifying operational mechanics) take effect on posting. Material modifications adverse to the economic substance of your Program participation as described in the Acceptance section require your affirmative consent or your right to a full refund of your deposit.
No Medical Advice; No Provider-Patient Relationship. The Program is a refundable-deposit and early-adopter program. Participation in the Program does not constitute a medical consultation, does not create a provider-patient relationship, and is not medical, diagnostic, or treatment advice. Any medical care related to Topical Diazoxide will occur, if at all, at commercial launch through the separate telehealth pathway maintained by Anagen and its independent medical partners, subject to the terms of that pathway and to a licensed clinician's judgment.
No Efficacy Claim; No Human Trial. There is no published human clinical trial of topical diazoxide for androgenetic alopecia. The existing evidence is mechanistic and animal (for example, isolated human hair-follicle organ-culture work and a stump-tailed macaque study of topical diazoxide). Anagen makes no representation or warranty that Topical Diazoxide is safe or effective for you or for any purpose, and makes no claim of efficacy. Diazoxide converges on the same follicular potassium channel as minoxidil's active form and, in head-to-head laboratory work, has appeared somewhat weaker than minoxidil rather than stronger; its proposed rationale is a different activation path (independent of the SULT1A1 sulfation step minoxidil depends on), not greater potency, and it would not be expected to help people who fail minoxidil for reasons other than poor sulfation.
No Product Warranty. Topical Diazoxide is in development and is not yet a commercially available product. Anagen makes no representation or warranty as to the efficacy, safety, availability, pricing, or timing of the Product, or as to any particular clinical or regulatory outcome. Any statements about the scientific basis, expected properties, or anticipated positioning of the Product are development-stage descriptions, not warranties or promises of performance.
“As Is” Basis. The Program, the Program materials, the formulation-feedback channel, and all related services are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Anagen disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from a course of dealing or usage of trade.
Forward-Looking Statements. Any statements on the Product page, in the FAQ, on the science page, or in Program communications regarding future launch, future formulation direction, or anticipated properties are forward-looking statements that involve risk and uncertainty. Any launch timing described anywhere, including the September 2026 target, is an estimate rather than a commitment, and there is no guaranteed launch date. Actual outcomes may differ materially, and individual outcomes among Founding Members may vary.
Off-Label, Investigational Framing. Topical Diazoxide is investigational, and there is no FDA-approved topical diazoxide for any indication. The only FDA-approved diazoxide product is oral Proglycem (diazoxide oral suspension, NDA 017453), approved for hypoglycemia due to hyperinsulinism, not for hair loss. Use of a topical diazoxide formulation for androgenetic alopecia is off-label and is proposed to be made available, if and when it clears development, only as a §503A compounded prescription reviewed and prescribed by a licensed clinician.
Systemic-Safety Disclosure. Taken systemically (that is, orally), diazoxide can cause fluid retention (which may be significant, including in patients with compromised cardiac reserve), elevated blood glucose (hyperglycemia), and generalized hair growth (hypertrichosis), among other effects. These body-wide effects are a principal reason oral diazoxide is not used for hair loss. The entire design goal of a topical formulation is to deliver drug to the scalp follicle while keeping systemic exposure minimal; however, the systemic safety of a topical diazoxide formulation in humans has not been established. A single animal study (Uno 1990) reported no change in blood pressure, glucose, or hormones over sixteen months of topical use in macaques, but that finding has not been confirmed in any human study.
Individual Determination. None of these statements constitutes medical advice. Individual eligibility, dosing, duration, and monitoring must be determined by a state-licensed prescriber through the separate telehealth pathway at commercial launch.

Limitation of Liability. To the fullest extent permitted by applicable law, in no event will Anagen or any of its affiliates, managers, members, officers, employees, agents, or service providers be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption, arising out of or relating to the Program, these Program Terms, Topical Diazoxide, the Credits, the Founding Member Benefits, or any related matter, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not Anagen has been advised of the possibility of such damages.
Cap. Notwithstanding anything to the contrary, the aggregate liability of Anagen and its affiliates to you arising out of or relating to the Program or these Program Terms will not exceed the total amounts actually paid by you to Anagen under the Program (your $249.99 deposit plus any Product charges). This cap is a material basis of Anagen's willingness to offer the Program.
Indemnification. You agree to indemnify, defend, and hold harmless Anagen and its affiliates, managers, members, officers, employees, agents, and service providers from and against any claim, liability, loss, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to (a) your breach of these Program Terms, (b) your violation of any applicable law or regulation, (c) your misrepresentation as to eligibility, (d) any unauthorized transfer or attempted transfer of Founding Member status or Founding Member Benefits, or (e) your misuse of the Program materials or Anagen's systems.
Own-Advisor Reliance. You acknowledge that you have had the opportunity to consult with your own tax, legal, and financial advisors regarding your participation in the Program, and you are not relying on Anagen or any of its affiliates or personnel for tax, legal, or investment advice.
Product IP. The intellectual property associated with Topical Diazoxide, including the provisional patent application filed on 23 July 2026 relating to the topical diazoxide formulation for the treatment of hair loss, and any related filings, know-how, trade secrets, and trademarks, is owned by Anagen or its licensors, and is licensed to or used by Anagen pursuant to separate agreements. Nothing in the Program or these Program Terms grants you any right, title, or interest in or to any Product intellectual property or in any Anagen intellectual property. Founding Member status, Founding Member Benefits, and the Credits are not intellectual-property rights and do not entitle you to make, manufacture, sell, offer for sale, or import the Product or any derivative of it.
Anagen Marks. “Anagen,” “MINX,” the Anagen logo, and related names and marks are trademarks of Anagen or its affiliates. You may not use these marks without the prior written permission of Anagen.
Feedback. If you submit ideas, suggestions, or feedback to Anagen regarding the Program, the Product, or any related matter (including through the Formulation-Feedback Channel), you grant Anagen a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and exploit that feedback without restriction or compensation to you.
Submitted Content and Photo/Data Consent. As part of the earn-back Qualifying Submissions, you may submit before/after photographs, questionnaire responses, self-reported measurements, and related check-in data (collectively, “Submitted Content”). Two separate licenses apply, and they are not the same license.
Disclosure of Compensation. Founding Members receive account Credits for completing Qualifying Submissions, and receive 2,000 spendable Anagen points (a $20 value) for each qualifying referral. Whenever Anagen publishes Submitted Content in advertising or promotional material in a form that identifies a Founding Member, Anagen will disclose, clearly and conspicuously and in close proximity to the image, that the depicted Founding Member received account Credits for the submission. Where a depicted outcome is not what consumers can generally expect, Anagen will state what the generally expected outcome is. If you publish your own Submitted Content, or promote the Program using your referral link or code, you must disclose that you receive compensation in the form of Anagen reward points.
(1) De-identified and aggregate use (permanent). You grant Anagen a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, aggregate, de-identify, analyze, adapt, publish, and distribute the Submitted Content in de-identified and/or aggregate form for research and development, cohort and outcomes analysis, scientific publication, internal quality improvement, and marketing purposes. This license is permanent and cannot be withdrawn.
(2) Identifying use (opt-in, withdrawable). Use of the Submitted Content in a form that identifies you personally is a separate license that you grant only by opting in, and that you may withdraw for future uses, on the terms immediately below. In identifying uses, Anagen preserves your moral rights and will provide attribution where applicable and practical.
Identifying Use; Opt-In and Withdrawal. Anagen's default use of Submitted Content is de-identified and/or aggregate for research and development (for example, pooled outcomes, anonymized before/after composites, and statistical summaries). Use of the Submitted Content in a form that identifies you personally (for example, using your name, recognizable face, or other personally identifying attributes in marketing or scientific-publication imagery) requires your affirmative opt-in during onboarding or through a subsequent written consent. You may revoke your consent to identifying uses at any time by emailing support@anagen.xyz; Anagen will honor the revocation prospectively, but Submitted Content that has already been incorporated into published aggregate data, distributed marketing materials, or accepted scientific publications cannot be recalled.
Data Status. Submitted Content is self-collected consumer data submitted outside of a HIPAA-covered-entity or business-associate relationship with Anagen and, accordingly, is not Protected Health Information (PHI) under the Health Insurance Portability and Accountability Act. Anagen nonetheless applies commercially reasonable administrative, technical, and physical security and confidentiality practices to the Submitted Content, as further described in the Privacy Policy.
Governing Law. These Program Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles, and applicable federal law of the United States.
Informal Resolution. Before initiating any formal proceeding, you agree to first attempt to resolve any dispute informally by sending a written notice describing the dispute to support@anagen.xyz and giving Anagen at least sixty (60) days to attempt to resolve the dispute in good faith. Anagen agrees to the same informal-resolution obligation with respect to any dispute it may bring against you.
Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Program Terms or the Program that is not resolved through informal resolution will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration will be conducted in New York, New York, or by videoconference at the election of either party, before a single arbitrator. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Consumer AAA cost-allocation rules apply. This arbitration clause is governed by the Federal Arbitration Act.
Class Action Waiver. All disputes must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
Exceptions. Notwithstanding the foregoing, (a) either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights, and (b) either party may bring an individual action in small-claims court for disputes within that court's jurisdiction.
Time Limit. Any claim arising out of or relating to the Program or these Program Terms must be commenced within one (1) year after the claim accrues, or the claim is permanently barred, to the maximum extent permitted by applicable law.
Anagen may modify these Program Terms as described in the Acceptance and Program Termination and Modification sections. The “Last Updated” date at the bottom of this page reflects the effective date of the current version. Founding Members will be notified by email of material changes to the extent Anagen has a working email address on file for the Founding Member.
Entire Agreement. These Program Terms, together with the Terms of Use and Privacy Policy incorporated by reference, constitute the entire agreement between you and Anagen with respect to the Program and supersede all prior or contemporaneous oral or written communications with respect to the Program.
Severability. If any provision of these Program Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
No Waiver. No failure or delay by Anagen in exercising any right under these Program Terms will operate as a waiver of that right.
Assignment. You may not assign or transfer these Program Terms or any of your rights or obligations hereunder without Anagen's prior written consent, and any purported assignment in violation of this sentence is void. Anagen may assign these Program Terms to any affiliate or to any successor in connection with a merger, reorganization, sale of assets, or similar transaction.
Force Majeure. Anagen is not liable for any delay or failure to perform under these Program Terms to the extent caused by events beyond its reasonable control, including acts of God, governmental action, regulatory change, war, civil disturbance, pandemic, supply-chain disruption, or force majeure.
Survival. The following sections survive termination or expiration of the Program or these Program Terms: Earn-Back Credits (with respect to Credits earned prior to termination), Founding Tier Credit, Referral Points, No Revenue Share and Not a Security, Disclaimer of Warranties, Product Safety and Off-Label Nature, Limitation of Liability and Indemnification, Intellectual Property, Governing Law and Dispute Resolution, and this Miscellaneous section.
